Become a 24/7 Affiliate

Foreword

This Affiliate Agreement (“Agreement”) is entered into between 24/7 Education, Inc. (parent of 24/7 Teach, collectively “24/7,” “we,” “us,” or “our”) and you, the individual or entity registering as an Affiliate (“Affiliate,” “you,” or “your”). By submitting your registration, you agree to the terms below.

Summary

1. Free to Join. The 24/7 Affiliate Program is free for approved applicants.
2. Commissions. Earn up to 20% on each unconditional sale and up to 10% on each referral that turns into an unconditional sale.
3. Sub-Affiliates. Earn up to 5% on sales made by affiliates you refer (one layer only).
4. Payouts. Paid monthly on the 15th, 30 days after the close of the month in which commissions are locked, via PayPal or Zelle.
5. Tracking. Each affiliate receives a unique promo code and tracking link to share.
6. Standards. You must represent 24/7 honestly and in line with our brand values.
7. Term. The Agreement remains in effect until terminated by either party with reasonable notice.
8. 1099. U.S. affiliates must complete a 1099 form to receive payment.

Full Agreement

1. Acceptance & Eligibility

You must be at least 13 years of age (with parent/guardian consent if under 18) and have at least one demonstrated channel and audience aligned with 24/7’s brand. We may approve or decline any application at our sole discretion.

2. Registration & Promo Code

You will provide accurate registration information and create a unique 7-character promo code. The promo code gives your referrals a 5% discount and is required at purchase for you to receive credit.

3. Commissions

Affiliates may earn up to 20% on each unconditional sale and up to 10% on each referral that turns into an unconditional sale on 247teach.org. The Override — the commission you earn when an affiliate you referred makes a sale or referral that leads to a sale — is capped at 5% and applies to one layer only (no pyramid structure). For organizational services or funding opportunities, you will receive 20% of revenue on deals you close yourself and 10% of revenue on referrals you send that 24/7 closes. Services with the same price point that are not listed in the Commission Rates table will receive the same commission rate as a listed service at the same price point. Commissions earned on a team basis are shared equally among team members, weighted by participation and performance. All commissions are paid on monthly net sales and do not include returns, sales tax, or shipping & handling.

4. Payment Schedule

Commissions lock at the end of each calendar month. Locked commissions are paid out via PayPal or Zelle on the 15th day of the following month, 30 days after the close of the locking month.

5. Tracking & Reporting

Affiliates receive a personalized dashboard for real-time tracking of clicks, purchases, and commissions. You agree not to interfere with or manipulate tracking.

6. Marketing Standards & Brand Use

You agree to represent 24/7 honestly and in line with our brand values. You may not make false or misleading claims, spam, use unauthorized paid search bidding on our trademarks, or misrepresent your affiliation.

7. Intellectual Property

24/7 grants you a limited, non-exclusive, revocable license to use our approved logos, copy, and creative assets solely to promote our products and services during the term of this Agreement.

8. Prohibited Conduct

Affiliates may not: self-refer, generate fraudulent leads or sales, purchase the company’s trademarks on paid search, post our content on coupon/deal aggregators without permission, or engage in any activity that violates applicable law.

9. Confidentiality

You agree to keep any non-public information shared with you in connection with the program confidential and to use it only for the purpose of promoting 24/7.

10. Independent Contractor

You are an independent contractor. Nothing in this Agreement creates an employment, partnership, joint venture, or agency relationship between you and 24/7.

11. Term & Termination

Either party may terminate this Agreement at any time, with or without cause, by providing written notice. Unpaid commissions earned prior to termination will be paid on the next scheduled payout cycle, subject to compliance with this Agreement.

12. Taxes

You are responsible for all taxes related to commissions you earn. U.S. affiliates must complete a Form W-9 / 1099 to receive payment.

13. Limitation of Liability

To the maximum extent permitted by law, 24/7 will not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your participation in the program.

14. Indemnification

You agree to indemnify and hold harmless 24/7, its officers, employees, and agents from any claims, damages, or expenses arising from your acts, omissions, or breach of this Agreement.

15. Modifications

We may update this Agreement from time to time. Material changes will be communicated to active affiliates. Continued participation after notice constitutes acceptance of the updated terms.

16. Governing Law

This Agreement is governed by the laws of the State of New York, without regard to its conflict-of-laws principles. Any disputes will be resolved in the state or federal courts located in New York County, New York.
