This agreement is for unpaid 24/7 Intern / Superstar / Team Member positions. If you are a paid employee of 24/7 Teach, your terms are set by your offer letter and employment paperwork — please don’t sign this form.

As a 24/7 Intern/Superstar/Team Member, I agree to perform the services, complete the learning projects, and meet the performance requirements described in the 24/7 Intern/Superstar/Team Member position posts that I applied for.

I understand this agreement does not create a partnership nor employment relationship with 24/7 Teach and 24/7 Education Inc. As an 24/7 Intern/Superstar/Team Member, I acknowledge that I am considered an unpaid trainee that does not have authority to enter into contracts on 24/7 Teach and 24/7 Education Inc.'s behalf.

I commit to completing the time and activity requirements described in the 24/7 Intern/Superstar/Team Member position posts that I applied for. As part of my successful completion I understand that I will receive:

• Certificate of completion
• Authorization to list 24/7 Teach as a previous position/employer
• The ability to build a portfolio of real-world work proving my practical experience
• A letter of recommendation
• A LinkedIn recommendation
• Access to the 24/7 Hall of Fame (Alumni) Network

Organizational Standards - our foundation:

1. Deadlines: Give a 1 hour notice if you can’t meet a deadline.
2. Communication: Return communication within 12 hours.
3. Team: Everyone owns the results of the team.
4. Time: Honor other people’s time, be prepared!
5. Fun: Have fun and make sure you are taking care of yourself.
6. Value: Add value to yourself, the organization, and others.

Accountability Standards:

We need everyone to take ownership and be accountable to each other, and because of that, we have instituted the following expectations:

You have “three strikes” prior to termination, with warnings/corrective measures implemented as following:

1. First strike: verbal warning followed-up with written acknowledgment;
2. Second strike: formal written warning;
3. Third strike: probation to begin with mentor assigned.

If accountability and performance are not improved after the agreed-upon probationary period, the 24/7 Intern/Superstar/Team Member’s participation will end.

These steps are guidelines only. Your supervisor or manager will use their discretion, along with 24/7 Teach leadership, in addressing conduct or performance issues, and may use only some of the steps above depending on the situation.

Both parties will work together at each stage to try and correct the issue since we all want everyone to succeed. Team Members are encouraged to ask for help if they feel they are not able to perform.

Separately from the steps above, 24/7 Teach may end a 24/7 Intern/Superstar/Team Member’s participation immediately, without prior strikes, for gross or serious misconduct — including any violation of the Standards of Conduct set out in the next section, which apply to everyone working with 24/7 Teach regardless of role. Those conduct standards apply to you. The 24/7 Education Handbook’s employment, pay, benefits, and separation provisions do not, because this is not an employment relationship.

Standards of Conduct:

These are the conduct standards that apply to everyone working with 24/7 Teach, in any role. They are reproduced from the 24/7 Education Handbook (§9:3, Standards of Conduct). This list is not exhaustive, but engaging in any of the following may end your participation, depending on the severity of the action:

• Violating company policies, including but not limited to conflict of interest, harassment, discrimination, violence prevention, drug-free workplace, confidentiality, criminal conviction, computer, internet, and email, and 24/7 Education’s Code of Conduct.
• Being intoxicated or under the influence of a controlled substance while at work. Possession or use of alcohol or a controlled substance in any quantity during work hours, except medications prescribed by a physician which do not impair work performance.
• Aggressive, threatening, antagonistic, obscene, or abusive language/conduct toward any supervisor/manager, employee, client, or vendor.
• Sabotage, intentional misuse, destruction or breaking of Company tools, machines, products, or property of another employee.
• Dishonesty, falsification, misrepresentation, or alteration of personnel and/or any Company records, including but not limited to the alteration of email communication.
• Disclosure of confidential or proprietary 24/7 Education information to competitors or other organizations or to unauthorized employees; working for a competing business while an 24/7 Education employee and/or breach of confidentiality of Human Resource information.
• Improper or misuse of the Company email system or Internet, including the sharing of passwords.
• Sleeping during working hours on Company premises or in performance of job responsibilities.
• Refusing to obey instructions properly issued by management pertaining to your work; refusal to help on a special assignment.
• Accepting money or gifts from clients, visitors or those doing business with 24/7 Education of more than a nominal value, or any item if it is intended to influence your actions or decisions.
• Engaging in inappropriate or unprofessional personal relationships with clients, co-workers or those doing business with 24/7 Education.
• Failing to report for scheduled work for two (2) consecutive days without notifying your supervisor in advance (“no call/no show”).

Proprietary Information

The 24/7 Teach and 24/7 Education Inc. will be entitled to use 24/7 Intern/Superstar/Team Member’s name and/or likeness use in advertising and other materials.

The product of all work performed under this Agreement (“Work Product”), including without limitation all notes, reports, documentation, drawings, computer programs, inventions, creations, works, devices, models, work-in-progress and deliverables will be the sole property of the 24/7 Teach and 24/7 Education Inc., and 24/7 Intern/Superstar/Team Member hereby assigns to the 24/7 Teach and 24/7 Education Inc. all right, title and interest therein, including but not limited to all audiovisual, literary, moral rights and other copyrights, patent rights, trade secret rights and other proprietary rights therein. 24/7 Intern/Superstar/Team Member retains no right to use the Work Product and agree not to challenge the validity of the 24/7 Teach and 24/7 Education Inc.’s ownership in the Work Product.

24/7 Intern/Superstar/Team Member hereby assigns to the 24/7 Teach and 24/7 Education Inc. all right, title, and interest in any and all photographic images and videos or audio recordings made by the 24/7 Teach and 24/7 Education Inc. in perpetuity including, but not limited to, any royalties, proceeds, or other benefits derived from such photographs or recordings.

The 24/7 Teach and 24/7 Education Inc. grants the 24/7 Intern/Superstar/Team Member a limited, non-exclusive, non-transferable, non-assignable, royalty free, worldwide license to display the deliverables on a platform personally controlled, in whole or in part, by the 24/7 Intern/Superstar/Team Member for Display purposes. The 24/7 Teach and 24/7 Education Inc. may revoke this license at any time by requesting the removal of the deliverables displayed by the 24/7 Intern/Superstar/Team Member. Upon such request, the 24/7 Intern/Superstar/Team Member shall remove the deliverables from the platform, and provide written notification of such removal.

Confidentiality

24/7 Intern/Superstar/Team Member acknowledges that it will be necessary for 24/7 Teach and 24/7 Education Inc. to disclose certain confidential and proprietary information to 24/7 Intern/Superstar/Team Member in order for 24/7 Intern/Superstar/Team Member to perform duties under this Agreement. 24/7 Intern/Superstar/Team Member acknowledges that disclosure to a third party or misuse of this proprietary or confidential information would irreparably harm 24/7 Teach and 24/7 Education Inc. Accordingly, 24/7 Intern/Superstar/Team Member will not disclose or use, either during or after the term of this Agreement, any proprietary or confidential information of 24/7 Teach and 24/7 Education Inc. without 24/7 Teach and 24/7 Education Inc.’s prior written permission except to the extent necessary to perform services on 24/7 Teach and 24/7 Education Inc.’s behalf.

Proprietary or confidential information includes:

• The written, printed, graphic, or electronically recorded materials furnished by 24/7 Teach and 24/7 Education Inc. for 24/7 Intern/Superstar/Team Member to use
• Any written or tangible information stamped “confidential,” “proprietary,” or with a similar legend, or any information that 24/7 Teach and 24/7 Education Inc. makes reasonable efforts to maintain the secrecy of
• Business or marketing plans or strategies, customer lists, operating procedures, trade secrets, design formulas, know-how and processes, computer programs and inventories, discoveries, and improvements of any kind, sales projections, and pricing information
• Information belonging to customers and suppliers of 24/7 Teach and 24/7 Education Inc. about whom 24/7 Intern/Superstar/Team Member gained knowledge as a result of contractor's services to 24/7 Teach and 24/7 Education Inc.

The obligations above continue for as long as the information remains confidential, and are not limited to the term of this Agreement. Software provided to the 24/7 Intern/Superstar/Team Member may not be reverse-engineered, decompiled, or disassembled without 24/7 Teach’s prior written consent.

In the event of a breach of this section, 24/7 Teach and 24/7 Education Inc. may seek any monetary damages available under law, including reasonable attorney’s fees and expenses incurred, in addition to the equitable relief described below.

Completion of Internship/Superstar Experience/Member Experience:

Upon termination of 24/7 Intern/Superstar/Team Member's services to 24/7 Teach and 24/7 Education Inc., or at 24/7 Teach and 24/7 Education Inc.'s request, 24/7 Intern/Superstar/Team Member shall deliver to 24/7 Teach and 24/7 Education Inc. all materials in 24/7 Intern/Superstar/Team Member's possession relating to 24/7 Teach and 24/7 Education Inc.'s business. On request, the 24/7 Intern/Superstar/Team Member shall promptly confirm in writing that this has been done, including the deletion of any copies held on personal devices or accounts.

24/7 Intern/Superstar/Team Member acknowledges that any breach or threatened breach of this clause of this Agreement will result in irreparable harm to 24/7 Teach and 24/7 Education Inc. for which damages would be an inadequate remedy. Therefore, 24/7 Teach and 24/7 Education Inc. shall be entitled to equitable relief, including an injunction, in the event of such breach or threatened breach of this clause of this Agreement. Such equitable relief shall be in addition to 24/7 Teach and 24/7 Education Inc.'s rights and remedies otherwise available at law.

Indemnification

24/7 Intern/Superstar/Team Member shall indemnify and hold 24/7 Teach and 24/7 Education Inc. harmless from any loss or liability arising from performing services under this Agreement.

Term of Agreement

This agreement will become effective when accepted and digitally signed by the 24/7 Intern/Superstar/Team Member and certain sections will terminate when the 24/7 Intern/Superstar/Team Member has successfully completed all of the steps of their particular 24/7 Internship/Superstar/Team Member experience, unless specified in that section.

Governing Law

The interpretation and enforcement of this Agreement shall be governed by the laws of the State of New York, without regard to its conflict-of-laws rules. If any provision of this Agreement is held unenforceable, the remaining provisions shall remain in full force and effect.
